Terms of Service

Last updated: 30 October 2026

These terms apply to your use of codevergesolutions.com and to services provided by CodeVerge Solutions, a sole proprietorship registered in Indore, Madhya Pradesh, India. Each project is also governed by a written proposal or statement of work (SOW). If the SOW and these terms conflict, the SOW applies.

1. Proposals and scope

Every project starts with a written proposal describing scope, deliverables, timeline and price. Work outside the agreed scope is quoted separately before it starts.

2. Payments

  • Unless the SOW says otherwise, payments are 40% before work starts, 40% at design or beta approval and 20% before launch.
  • Invoices are due within 7 days. Work may pause while an invoice is overdue.
  • Prices are exclusive of applicable taxes. International clients are invoiced in USD.
  • Third-party costs (domains, hosting, licences, API usage, payment gateway fees) are paid by the client directly unless agreed otherwise.

3. Client responsibilities

You agree to provide content, feedback and access needed for the project in a timely way. Delays in feedback may move delivery dates.

4. Intellectual property

On receipt of full payment, you own the custom code, designs and content created specifically for your project. We retain ownership of our pre-existing tools and generic components, and grant you a perpetual licence to use them within your project. Open-source components remain under their own licences.

Unless you ask us not to, we may mention your company name and show non-confidential screenshots of the work in our portfolio.

5. Confidentiality

We keep your business information confidential and will sign a separate NDA on request.

6. Warranty and support

We fix bugs reported within the free support period stated in the SOW (usually 30 to 90 days) at no cost. Support after that period is available on a monthly plan or hourly basis.

7. Limitation of liability

Our total liability for any project is limited to the amount you paid for that project. We are not liable for indirect losses such as lost profits or data, or for failures of third-party services (hosting, payment gateways, AI providers).

8. Termination

Either party may end a project with written notice. You pay for work completed up to that date, and we hand over all completed work.

9. Governing law

These terms are governed by the laws of India. Courts in Indore, Madhya Pradesh have exclusive jurisdiction.
